By using this website, submitting a form, creating a customer portal account, requesting a trial, downloading software, or contacting ThuliNexis, you agree to these Terms & Conditions. If you do not agree, you should not use the website or portal.
Separate written proposals, invoices, software licence terms, statements of work, or signed agreements may apply to specific services. If there is a conflict, the more specific written agreement will apply to that service or product.
2. What ThuliNexis Provides
ThuliNexis supports Sri Lankan businesses with website design, mobile application development, web application development, business software, e-commerce platforms, POS systems, ERP systems, cloud solutions, artificial intelligence, cybersecurity services, IT consultancy, digital transformation, digital marketing, branding, customer support, and developer recruitment.
Website content is provided for general information and service enquiry purposes. Final project scope, timelines, deliverables, prices, support terms, and responsibilities must be confirmed in writing.
3. Quotes, Projects, and Client Responsibilities
Any estimate, proposal, or timeline is based on the information available when it is prepared. Changes in scope, delayed feedback, missing content, third-party issues, or new requirements may affect price and delivery dates.
Clients are responsible for providing accurate business details, content, images, brand materials, product information, approvals, access credentials, and legal permissions needed for the work. You must not provide materials that infringe another person's rights or violate applicable law.
4. Payments, Cancellations, and Refunds
Fees, payment schedules, deposits, renewals, and support charges will be stated in the relevant proposal, invoice, or written agreement. Work may pause if required payment, information, or approval is delayed.
Deposits and milestone payments may be non-refundable once planning, design, development, setup, licensing, or other work has started. Refund requests are reviewed case by case, including duplicate payments, payment errors, cancelled work, or services that cannot be delivered. These terms do not remove any consumer right or mandatory protection that applies under Sri Lankan law, including the Consumer Affairs Authority Act, No. 9 of 2003, as amended.
5. Software Downloads, Trials, and Licences
Software, APK files, trial versions, updates, licence keys, customer portal access, and related downloads are provided only for authorised users. You must not copy, resell, redistribute, reverse engineer, bypass licence controls, share protected download links, or misuse trial access.
Trial access may be limited by time, device, features, usage, support level, or licence status. Full access may require a valid purchase code, account verification, payment, and ongoing compliance with these terms.
6. Customer Portal and Account Security
Customer portal users must provide accurate registration details, keep passwords confidential, verify their email address, and use the portal only for lawful access to ThuliNexis software and support. You are responsible for activity under your account unless caused by ThuliNexis' failure to use reasonable security measures.
ThuliNexis may suspend or restrict portal access where account details are false, a licence is expired or misused, a device binding appears unauthorised, or the portal is used in a way that may harm the system, other users, or ThuliNexis.
7. Careers and CV Applications
The Careers page is for developer applications and recruitment enquiries. Submitting a CV does not guarantee employment, interview selection, freelance work, or a response within a fixed period.
Applicants must provide truthful information and must not upload files containing malware, unlawful content, confidential third-party material, or misleading claims.
8. Intellectual Property
The ThuliNexis name, logo, website design, text, images, layouts, software, code, product names, and downloadable materials are owned by ThuliNexis or its licensors unless stated otherwise. You may view the website for normal business enquiry, support, and account use, but you may not copy, reproduce, sell, or adapt website or software materials without written permission.
Unless a written agreement says otherwise, ThuliNexis may reuse general skills, ideas, methods, frameworks, and non-confidential know-how developed during service delivery. Portfolio use of completed work will follow the applicable client agreement and confidentiality expectations.
9. Acceptable Use
You must not use this website, portal, forms, or downloads to:
- send spam, malware, harmful files, or abusive content;
- attempt unauthorised access to servers, accounts, APIs, or software;
- interfere with website performance, security, or availability;
- submit false, misleading, or unlawful information;
- infringe intellectual property, privacy, or other legal rights.
Unauthorised access, hacking, and related misuse may also be offences under the Computer Crimes Act, No. 24 of 2007, and may be reported to the relevant authorities.
10. Third-Party Services and Links
The website may link to third-party services such as WhatsApp, Facebook, Gmail, Google Fonts, hosting providers, email providers, payment or banking channels, app stores, and client websites. ThuliNexis is not responsible for third-party websites, policies, outages, pricing, security, or content.
11. Availability, Accuracy, and No Guaranteed Outcome
ThuliNexis works to keep the website accurate and available, but content, prices, features, versions, downloads, portfolio items, and service details may change. The website may be unavailable during maintenance, hosting issues, security events, or third-party outages.
Digital services can support business growth, but ThuliNexis does not guarantee search ranking, sales, revenue, app store approval, campaign performance, uninterrupted software access, or a specific commercial result unless expressly agreed in writing.
12. Limitation of Liability
To the maximum extent permitted by applicable law, ThuliNexis will not be liable for indirect, incidental, special, consequential, or business-loss damages arising from use of the website, portal, software downloads, third-party links, or services. Nothing in these terms excludes liability that cannot lawfully be excluded under Sri Lankan law.

14. Electronic Communications and Consumer Transparency
Website forms, customer portal actions, email messages, verification codes, software download records, and online acceptances may be treated as electronic communications and records where applicable, including under the Electronic Transactions Act, No. 19 of 2006, as amended. You should keep copies of important messages, invoices, proposals, licence details, and support communications.
For software trials, paid software, downloads, and service enquiries, ThuliNexis aims to provide clear information about product type, access method, licence status, support route, pricing where applicable, cancellation or refund handling, and contact details before a transaction is completed.
15. Governing Law and Disputes
These terms are governed by the laws of Sri Lanka. The courts of Sri Lanka will have jurisdiction unless a separate written agreement states another lawful dispute process.
Before starting formal proceedings, you should contact ThuliNexis with details of the issue so both sides can try to resolve it in good faith.
16. Changes to These Terms
ThuliNexis may update these terms when services, software, laws, policies, or business practices change. The updated version will be posted on this page with a revised date. Your continued use of the website or portal after an update means you accept the updated terms.
